ACCESS LICENSE GREEMENT


This Agreement made at _________________this ___ day of ________2012
BETWEEN
ABC, a Company incorporated under the Companies Act, 1956, with its registered office at  _______________________________(hereinafter referred to as “ABC”, which expression shall, unless it be repugnant to the context or meaning thereof, mean and include its successors and permitted assigns) of the Other Part;
And
XYZ, a Company incorporated under the laws of India having its registered office at ______________________ (hereinafter referred to a “XYZ”) of the One Part;

WHEREAS:
A.      ABC & XYZ are the……. Subsidiaries/associates of DEF and associates inter se,   engaged, inter alia,  in the business of ____________________________ etc.

B.      ABC has established network across India, registered under the local statutes viz. Shops & Establishments Act and local regulations and XYZ has requested ABC to provide access to ABC’ establishments to facilitate servicing XYZ’s business services, for statutory compliance and as Head-Quarters / Field base for XYZ service personnel and associates.


NOW THIS AGREEMENT WITNESSETH AND IT IS HEREBY AGREED BY AND BETWEEN THE PARTIES HERETO AS FOLLOWS:

1.      ABC agrees to provide access to its  network of godowns/warehouse/establishments across India to XYZ for the limited purpose as set out hereinafter, during    the usual business hours:-      

2.      ABC agrees to render the following facilities to XYZ.

a)      The use of address of ABC establishments for securing registration under various statutes, viz. Shops and Establishments Act, Contract Labour (Regulation & abolition) Act, Trade License, Professional Tax, Payment of Wages Act, Minimum Wages Act, Labour Welfare Act, Employee State Insurance Act, Employee Provident Fund   (M P) Act, Employee Compensation Act, Maternity Benefit Act, Payment of Bonus Act, Service Tax, Value Added Tax, Income Tax Act, etc.           

b)      Affixing name boards of XYZ inside the entrance of ABC establishments.

c)      Further facilities which the parties may agree from time to time on mutual agreement

The List of establishments of ABC situate at various locations enclosed as annexure A.

3.      XYZ while using the ABC establishments shall ensure governance with the laws and the policies applicable, and also business hours, as may be applicable to the respective establishments as per the locals laws from time to time.    

4.      Access License Fees:  XYZ shall pay to ABC an access license fee of Rs. _________/- per establishment, based on actual access/use month on month. XYZ shall also pay the charges for any other business use/facilities availed by XYZ at various ABC establishments, based on actual use  month on month .

5.      The initial tenure of this Access License Agreement shall remain valid for an initial period of two years and may be renewed for further tenure(s) by mutual agreement. Either party may terminate to this Agreement            by giving the other party thirty days (30) days notice.         
 
6.      In event of any breach of any provisions of this agreement ABC shall be entitled to terminate this Agreement by giving thirty (30) days   notice.
